Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for updates.

2. Use of the Website

• Eligibility: By using the Website, you represent and warrant that you have the legal capacity to enter into these Terms in your jurisdiction. If you are accessing the Website on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.  

• Account Creation (If Applicable): If you choose to create an account on ColabCodes, you are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for any unauthorized use of your account. You agree to notify us immediately of any unauthorized access to or use of your account.  

• Acceptable Use: You agree to use the Website and its content for lawful and educational purposes only. You shall not use the Website in any way that could damage, disable, overburden, or impair the Website or interfere with any other party's use and enjoyment of the Website. You agree not to:

  • Use the Website to distribute spam, unsolicited communications, or other objectionable content.  

  • Attempt to gain unauthorized access to any portion of the Website, accounts, computer systems, or networks connected to the Website.  

  • Engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Website.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate these Terms, the rights of any third party (including intellectual property rights, privacy rights, or publicity rights), or any applicable laws or regulations. We have the right, but not the obligation, to monitor, edit, or remove any User Content that we believe, in our sole discretion, violates these Terms or is otherwise objectionable.

3. Membership Plans(Our Plans)

• Membership Tiers and Benefits: ColabCodes offers different membership tiers, each with its own set of features, benefits, and subscription fees, as described on the Membership page (https://www.colabcodes.com/membership). The specific features and benefits associated with each tier are subject to change at our discretion.

• Subscription Fees and Payment: By subscribing to a membership tier, you agree to pay the applicable subscription fees as displayed on the Website at the time of your purchase. All fees are stated in US Dollars  unless otherwise specified. You authorize us or our third-party payment processor to charge your chosen payment method for the applicable subscription fees on a recurring basis (e.g., monthly or annually), depending on the subscription term you select.

• Billing and Renewal: Your membership may automatically renew at the end of the applicable subscription term unless you cancel it before the renewal date. The renewal fee will be the then-current fee for your chosen membership tier. You are responsible for ensuring that your payment information is accurate and up-to-date.

• Cancellation: You can cancel your membership at any time through your account settings on the Website. If you cancel your membership, your access to the membership benefits will continue until the end of your current billing period. You will not receive a refund for any unused portion of your subscription fee unless specifically mentioned in the plan details.

• Changes to Membership Terms and Fees: We reserve the right to change the membership tiers, benefits, and subscription fees at any time. We will provide reasonable notice of any material changes. Your continued use of the membership after the effective date of such changes constitutes your acceptance of the new terms and fees. If you do not agree to the changes, you have the right to cancel your membership.

• Termination of Membership by ColabCodes: We reserve the right to suspend or terminate your membership at any time, with or without cause and without notice, if you violate these Terms or for any other reason in our sole discretion. In the event of termination by us for reasons other than your violation of these Terms, we may, at our discretion, provide a pro-rata refund for any unused portion of your subscription fee.

• No Transferability: Your membership is personal to you and is non-transferable. You may not share your membership benefits with any other individual.

4. Refunds and Cancellation for Freelance Assistance and Custom Projects

This section applies to any freelance assistance and custom projects arranged through the ColabCodes platform that are separate from the standard membership subscriptions.

• Project-Specific Agreements: The terms for refunds and cancellations for individual freelance assistance and custom projects will be as explicitly agreed upon in the separate agreement or communication established directly between the Client (the user seeking assistance) and the Provider (the freelancer offering assistance). ColabCodes is not a party to these individual agreements unless explicitly stated in writing for a specific ColabCodes-offered service.

• Cancellation by Client: Clients may have the right to cancel a project, but the terms of cancellation, including any potential fees or refunds, will be determined by the agreement with the Provider. Clients should carefully review the cancellation terms outlined in their project agreement with the Provider.

• Cancellation by Provider: Providers may also have the right to cancel a project based on the terms of their agreement with the Client. Providers should communicate any cancellation clearly and in accordance with their agreement.

• Refunds for Project Fees: Refunds for project fees, if any, will be governed by the specific agreement between the Client and the Provider. ColabCodes may facilitate payment processing but will not be responsible for mediating or processing refunds unless explicitly stated for a specific ColabCodes-managed service. Any refund requests should typically be directed to the other party involved in the project agreement.

• ColabCodes' Role: ColabCodes' role is primarily to facilitate connections between Clients and Providers. We do not guarantee refunds for project fees or the completion of projects. Any issues regarding refunds or cancellations for freelance assistance and custom projects should be resolved directly between the Client and the Provider, according to their agreed-upon terms.

• Dispute Resolution (Optional): ColabCodes may offer optional dispute resolution mechanisms for disagreements between Clients and Providers regarding refunds or cancellations. If such a service is offered, the terms and conditions of that service will be provided separately.

5. Intellectual Property

• Our Content: All content on the Website, including but not limited to text, articles, tutorials, code examples, graphics, logos, images, and software ("Our Content"), is the property of ColabCodes or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use Our Content solely for your personal, educational, and non-commercial purposes in accordance with these Terms. You may not reproduce, modify, distribute, display, perform, publish, create derivative works from, or otherwise use Our Content without our prior written consent, except as expressly permitted by these Terms or applicable law.  

• Trademarks: The ColabCodes name, logo, and any other ColabCodes trademarks, service marks, graphics, and logos used in connection with the Website are trademarks or registered trademarks of ColabCodes. You are not granted any right or license with respect to any ColabCodes trademarks.

The Website may contain links to third-party websites, services, or resources, and may display content from third parties. WHILE WE STRIVE TO PROVIDE ACCURATE AND UP-TO-DATE CONTENT, WE DO NOT WARRANT THAT THE WEBSITE OR OUR CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, COMPLETE, RELIABLE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THESE TERMS AND THAT THE WEBSITE WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS.

9. Indemnification

You agree to indemnify, defend, and hold harmless ColabCodes, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Website or Our Content; (b) your User Content (if applicable); (c) your breach of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any rights of a third party. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts located in Srinagar, Jammu and Kashmir, India. You hereby irrevocably consent to the jurisdiction of such courts.

We reserve the right to suspend or terminate your access to all or any part of the Website, including your membership, at any time, with or without cause and with or without notice. Upon termination, your right to use the Website will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual provisions, disclaimers of warranties, limitations of liability, and indemnification obligations.

These Terms, together with our Privacy Policy https://www.colabcodes.com/privacy-policy, constitute the entire agreement between you and ColabCodes regarding your use of the Website and supersede all prior and contemporaneous communications and proposals, whether oral or written.
